Additional to our Terms and Conditions and Policy for regular customers, the following notes apply to our Resellers:

ADDITIONAL CLAUSES

("Reseller" is liable as the same terms and conditions outlined for Subscriber on our main terms and conditions)

I. Customers

All clients entering into an agreement with Reseller remain clients of Reseller. Reseller’s clients will be hosted on ISP’s computer network. Reseller account(s) refers to any account owned by Reseller and any account where Reseller is listed with ISP as the Administrative or Billing contact. Reseller reserves the right to set the fair market price for all ISP services resold.

Client domain names registered with NIC organizations are the property of the client. For all domains hosted by ISP, ISP will be listed as the Technical and Zone Contact. Reseller will be listed as the Administrative or Billing contact for domains and will therefore be responsible for all associated InterNIC registration and renewal fees. ISP does not have a right to interfere with the client's request to transfer domains within the scope of this agreement. However, Reseller may object to client's request. This is considered a totally internal matter between Reseller and the client. In such situations, ISP remains objective and allows the Reseller and Client to resolve matters between them.

Changes made to Reseller’s accounts will be made through the Administrative contact or a representative of Reseller. All accounts must be processed through the official ISP order form.

II. Notices

ISP agrees to notify Reseller of any and all changes in policy and large technical issues that might affect the operations of Reseller within 15 days, scheduled maintenance within 5 days. ISP reserves the right to perform emergency maintenance with no notice.

III. Technical Support

ISP intends to provide a high quality service for Reseller and its customers. Technical support will occur primarily through e-mail. All e-mail received by the published technical e-mail address will receive a response within 1 business day. ISP staff will be available for urgent matters by phone during posted business hours. ISP will provide technical support directly to the Administrative Contact (Reseller) listed for the account or other Reseller representative. Reseller will be responsible for direct technical support for their customers.

VI. Payment Terms

Reseller will pay a $100 one time reseller fee. All funds are based in US currency. Reseller will pre-pay all new accounts based on ISP's current published rates less discount. All accounts will be prorated to the Reseller's standard payment date. All accounts are subject to suspension for non pre-payment and are subject to deactivation when payment is overdue by 2 weeks. Definitions of suspension and deactivation: Suspension; The account will not be viewable. FTP features will be available during this period. Service fees apply and accrue during suspension period. Deactivation; The site will exist as it was but will not be functional. No mail, web, FTP or DNS service will be available for domain. Accounts will be kept deactivated for 30 days and the Reseller will be charged for that period. If payment is not cleared, at the end of this 30 days, the domain will be totally removed from our server and DNS system. All files ind domain's directories will be permanently erased. ISP reserves the right to contact the client directly if the account becomes suspended or deactivated.

V. Lawful Purpose

All Reseller’s customer sites are subject to the published outlines of ISP's terms and conditions. It is the responsibility of Reseller to inform and notify its clients of ISP’s policies. ISP reserves the right to monitor all accounts for violations of its policies.

VI. Validity

The term of this Agreement shall commence _____________ and shall terminate when Reseller customer accounts hosted by ISP equal zero and the terms and conditions of the Agreement have been met.

VII. Successors and Assigns

This Agreement shall be binding only on Reseller and companies owned by Reseller and ISP and companies owned by ISP and in no way transfers to respective heirs, legal representatives, successors, and assigns unless in written agreement.

VIII. Indemnification

Reseller agrees that it shall defend, indemnify, save and hold ISP harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees asserted against ISP, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Reseller, it’s agents, employees or assigns. Reseller agrees to defend, indemnify and hold harmless ISP against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with ISP’s server; (2) any material supplied by Reseller infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) and defective product customer sold on ISP’s server.

IX. Disclaimer

ISP will not be responsible for any damages any business may suffer. ISP makes no warranties of any kind, expressed or implied for services provided. ISP disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, nondeliveries, wrong delivery, and any and all service interruptions caused by ISP and its employees.
